PART A — TERMS OF USE

Munsheeji Smart Company Compliance

Governing Law: India

1. About These Terms

These Terms of Use (“Terms”) govern access to and use of the Munsheeji website, software platform, dashboards, content and related services (collectively, the “Services”), operated by [Full legal entity name], having its registered office at [Registered office address] (“Munsheeji”, “we”, “us” or “our”).

By accessing the website, creating an account, purchasing a plan or using the Services, you agree to these Terms and any applicable order form, subscription terms or service-specific conditions. If you do not agree, do not use the Services.

2. Definitions

“User” means an individual accessing the Services. “Customer” means the individual or organisation purchasing or subscribing to the Services. “Customer Data” means information or documents submitted by or on behalf of a Customer. “Authorised User” means a person permitted by the Customer to access its account.

3. Eligibility and Authority

You must be legally capable of entering into a binding agreement. If you access or use the Services for a company, CA firm, client or other organisation, you represent that you are authorised to bind that organisation and to submit the relevant information.

4. Description and Scope of Services

Munsheeji is intended to help users organise and monitor company and tax compliance workflows. Depending on the plan and features enabled, Services may include compliance calendars, due-date reminders, task tracking, document workflows, dashboards, reports, client/entity management and access to separately offered professional or assisted services.

The exact features, entity/user limits, integrations, service levels and deliverables are those expressly described in the applicable plan, proposal or order form. Features may change as the platform evolves, subject to applicable law and contractual commitments.

5. No Automatic Professional Engagement

Access to software, general information, automated outputs or reminders does not by itself create a chartered accountant-client, advocate-client, company secretary-client or other professional relationship. Any tax preparation, certification, representation, legal advice or other professional service must be covered by a separate engagement with the relevant professional or provider.

6. Account Registration and Security

Provide accurate and current registration, billing and organisation information.

Keep login credentials confidential and use individual accounts where available.

Promptly notify Munsheeji at [security/support email] if you suspect account compromise or unauthorised access.

Ensure that your authorised users are entitled to access the relevant Customer Data and remove access when no longer required.

You are responsible for activity performed through your account, except to the extent caused by Munsheeji's breach of applicable law or contractual obligations.

7. Customer Responsibilities

Provide complete, accurate and timely information and supporting documents.

Review all drafts, calculations, reports and filing details before approval or submission.

Confirm which laws, registrations, forms and deadlines apply to your circumstances.

Obtain necessary permissions and notices before providing personal information about employees, directors, clients or other individuals.

Maintain your own records and copies of important filings, acknowledgements, payments and statutory documents.

Use the Services lawfully and not upload malware, infringing content or information you are not authorised to share.

8. Compliance Dates, Reminders and Automated Outputs

Calendars, alerts, notifications and generated outputs are administrative aids. They may depend on user-provided data, selected settings, official notifications, third-party portals, network connectivity and system availability. You must independently verify applicable obligations, due dates, filing status, payment status and acknowledgements. Munsheeji does not guarantee that every deadline will be identified or that a filing will be accepted.

9. Government Portals and Third-Party Services

The Services may link to or rely on third-party websites, government portals, payment gateways, cloud infrastructure, messaging services or other vendors. Their terms, fees, uptime, decisions and data practices may apply separately. Unless expressly stated in writing, Munsheeji does not control or warrant third-party services.

10. Fees, Taxes and Payment

Fees, billing periods, taxes, included features and payment conditions will be stated on the applicable pricing page, checkout page, proposal or order form. You agree to pay applicable charges when due. Any automatic renewal, renewal price, cancellation deadline and payment method must be disclosed in the applicable purchase flow or contract.

11. Cancellation, Suspension and Termination

Cancellation, refunds, access after cancellation and data export are governed by the applicable plan or order terms and applicable law. Munsheeji may suspend or terminate access for material breach, unlawful use, security risk, non-payment or where required by law. Where reasonably practicable, notice will be provided; urgent security or legal circumstances may require immediate action.

12. Customer Data and Intellectual Property

As between the parties, the Customer retains its rights in Customer Data. The Customer grants Munsheeji a limited right to host, process, transmit and use Customer Data only as reasonably necessary to provide, secure, support and improve the Services, comply with law and perform the applicable contract.

The software, website, brand, design, documentation and other Munsheeji materials are owned by or licensed to [Full legal entity name]. Except for rights expressly granted in writing, no ownership or other intellectual property rights are transferred to you.

13. Acceptable Use

Do not access accounts, systems or data without permission.

Do not probe, scan, interfere with or disrupt the security or availability of the Services.

Do not copy, resell, reverse engineer or exploit the Services except where permitted by law or expressly authorised in writing.

Do not use the Services for fraud, unlawful evasion, impersonation or infringement of another person's rights.

Do not misuse another person's digital signature, credentials, identity or authorisation.

14. Availability, Disclaimer and Limitation of Liability

The Services may be changed, interrupted or unavailable due to maintenance, connectivity issues, third-party outages or other circumstances. To the extent permitted by law, Munsheeji does not warrant uninterrupted or error-free operation, acceptance of a filing by an authority, or a particular tax or compliance outcome.

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special or consequential loss arising from use of the Services. Any overall liability cap, if appropriate, must be expressly stated in the applicable signed contract and cannot exclude liability that cannot lawfully be excluded. Nothing in these Terms limits rights or remedies that cannot be limited under applicable law.

15. Indemnity

To the extent permitted by law, you are responsible for claims, losses or costs arising from your unlawful use of the Services, your breach of these Terms, or Customer Data you submit in violation of another person's rights. This clause does not apply to the extent a claim results from Munsheeji's own breach, negligence or unlawful conduct.

16. Changes to These Terms

We may update these Terms to reflect changes in law, Services or operations. The current version and effective date will be posted on the website. Where required, we will give notice of material changes. Continued use after the effective date constitutes acceptance only to the extent permitted by law.

17. Governing Law and Disputes

These Terms are governed by the laws of India. Courts at [City, State] shall have jurisdiction, subject to applicable law and any dispute-resolution clause in a signed customer agreement.
